Provision of Services by Fluentbe Sp. z o.o.

§1 Definitions

The terms used in these Terms and Conditions have the following meanings:

  1. Fluentbe – Fluentbe Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (00-895), at ul. Biała 4, Suite 81, entered in the Register of Entrepreneurs by the District Court for the Capital City of Warsaw, 12th Commercial Division of the National Court Register, under KRS number 0000562340, with Tax Identification Number (NIP): 527-27-38-544, REGON: 361742271.
  2. Fees – the fees due to Fluentbe, payable in a single installment or in periodic installments, in the amount, by the due date, and in the form specified in the Terms and Conditions and the Order.
  3. Registration Fee – a one-time fee paid by the Student at the beginning of the Course for Lessons with a teacher.
  4. Student Space – a platform operated by Fluentbe at space.fluentbe.com, through which, after logging in and depending on the type of services provided, the Student can access the part of the platform called Smart Learning or participate in Lessons with a teacher within the part of Student Space called Fluentbe Classroom. Access to Student Space is granted by Fluentbe upon conclusion of the Agreement and includes the scope of Services purchased by the Student.
  5. Smart Learning—a section of the Student Space platform through which Fluentbe provides a service enabling the Student to learn a foreign language independently (without a teacher).
  6. Fluentbe Classroom – a section of the Student Space platform where the Student can, among other things, take Lessons with a teacher.
  7. Lesson with a Teacher – a foreign language lesson with a Fluentbe teacher, conducted remotely via Fluentbe Classroom. Lessons may be group or individual.
  8. Fluentbe Max Package – a package purchased by the Student that includes both Lessons with a Teacher and Smart Learning, provided as a combined service.
  9. Planned Course End Date – The date on which the course is scheduled to end, as specified in the Order.
  10. Lesson Schedule – the dates and times of individual Lessons with a teacher or group Lessons with a teacher.
  11. Course – all Lessons with a Teacher in which the Student is entitled to participate in accordance with the Order, and, if the Smart Learning service is purchased, also the scope of access to the Smart Learning service that the Student receives.
  12. Group Lesson with a Teacher – an audio-visual connection conducted via the Internet with a teacher and other Students, provided that the total number of Students in the group may not exceed the number specified in the Order, and the duration of the group Lesson is specified in the Order.
  13. One-on-one lesson with a teacher—an audio-visual connection via the Internet with a teacher, where the duration of the one-on-one lesson is specified in the Order.
  14. Classes – a specified number of Lessons during a single session with a teacher.
  15. Order – a form specifying basic information about the Course and the services provided by Fluentbe, including the Fee, the number of Sessions, and, if applicable, access to the Smart Learning service and its scope. The Order is submitted in the manner specified in § 2.
  16. Student – a person who enters into the Agreement by completing the Order and accepting the Terms and Conditions.
  17. Terms and Conditions – these Terms and Conditions.
  18. Agreement – the agreement for the provision of services by Fluentbe, concluded in accordance with §2(2).

§2 Conclusion of the Agreement, Right to Withdraw from the Agreement.

  1. The Agreement is concluded remotely, without the simultaneous physical presence of the parties.
  2. The Agreement is concluded by completing the Order form available on fluentbe.com and accepting the Terms and Conditions, or remotely via the SignNow.com application (https://www.signnow.com/) or via email by sending a reply confirming acceptance of the terms and conditions for taking Lessons and acceptance of the Terms and Conditions.
  3. When entering into the Agreement, the Student may choose to purchase: 1) Lessons with a teacher, 2) access to Smart Learning, or 3) Lessons with a teacher and access to Smart Learning.
  4. The Agreement is entered into for a fixed term specified in each Order.
    1. In the case of group Lessons comprising a single Course lasting until the date specified in the Order (Planned Course End Date), and if no such date is specified, the Agreement remains in effect for a period corresponding to the number of Lessons purchased;
    2. in the case of individual Lessons,
    3. the Agreement remains in effect
    4. for
    5. a period
    6. corresponding to the number of Lessons purchased.
    7. In the case of purchasing access to the Smart Learning service, the Agreement is entered into for a specific period of access to the Smart Learning service.
    8. In the case of entering into an Agreement for the Fluentbe Max Package, the duration of service access is specified in each Order; if not specified, this period is 12 months.
  5. The Student may extend the Agreement for one-on-one lessons with a teacher by paying for additional lessons. For Smart Learning services, the Student may extend the period of access to Smart Learning by purchasing access for another specified period. For the Fluentbe Max Package, the Student must purchase another Fluentbe Max Package to extend the term of the Agreement.
  6. Fluentbe determines the date of the first lesson with a teacher and the lesson schedule in consultation with the Student. The date of the first lesson with a teacher and the lesson schedule are subject to change for technical reasons or if an insufficient number of Students enroll. Fluentbe will inform the Student of the detailed Lesson Schedule and the date of the first Lesson.
  7. Access to Smart Learning will be granted immediately upon payment by the Student.
  8. The Student’s proficiency level is determined based on a placement test administered by Fluentbe.
  9. If the Student is unable to accept the final Lesson Schedule or the date of the first Lesson with the instructor, the Student may terminate the Agreement with immediate effect. In such a case, if the Student has paid the Tuition in full or in part, Fluentbe will refund the amount of Tuition paid by the Student within 14 days of the date of termination.
  10. In the case of group Lessons with a teacher, if the minimum number of 3 Students in a given group is not reached, or if the number of Students falls below 3 during the course, Fluentbe may offer the Student the option to take group lessons with a teacher in another group (including one with a different Lesson Schedule) at the same proficiency level, or terminate the Agreement, refunding the Student a proportional portion of the unused Tuition.
  11. A Student who is a consumer within the meaning of Article 22(1) of the Civil Code has the right to withdraw from the Agreement regarding Lessons with a teacher within fourteen days from the date of its conclusion without having to provide a reason. If the Student has paid the Fee prior to withdrawing from the Agreement, Fluentbe will refund it.
  12. A Student who is a consumer within the meaning of Article 22(1) of the Civil Code has the right to withdraw from the Agreement regarding access to Smart Learning services within fourteen days of the date of its conclusion without having to provide a reason. However, this right does not apply if the Student, having been informed of the loss of the right to withdraw, began using the Smart Learning services before the expiration of the withdrawal period. This provision also applies to the Fluentbe Max Package.
  13. If a Student who is a consumer withdraws from the Agreement after the Course has begun, the Student is obligated to pay a portion of the Fee proportional to the number of Lessons in which they were able to participate.
  14. A template for the notice of withdrawal from the Agreement is provided in Appendix A to the Terms and Conditions. The notice of withdrawal from the Agreement should be sent to the Fluentbe address specified in §1(1) by certified mail or via email to: [email protected]. To effectively exercise the right of withdrawal, it is sufficient to simply send the notice of withdrawal from the Agreement before the expiration of the deadline specified above.

§3 Notices, Course Organization, and Time Limit for Using Individual Lessons.

  1. Fluentbe declares that it has all the means and resources necessary to properly conduct the Course.
  2. The Student confirms that they have read the technical and equipment requirements referred to in § 10 of the Terms and Conditions and confirms that they meet these requirements.
  3. The Student must create an account on Student Space. The account password must be kept confidential and should not be used on other websites.
  4. The number of live lessons available as part of the Course is guaranteed, which means that if, for any reason attributable to Fluentbe, any of the Lessons with a Teacher does not take place on the date specified in the Lesson Schedule, or if the date of a Lesson with a Teacher, as specified in the Lesson Schedule, falls on a public holiday other than a Sunday, the Course will continue in accordance with the Lesson Schedule until all Live Lessons included in the Course have been completed. If, for any reason, Fluentbe is unable to complete the specified number of lessons by the Planned Course End Date, the difference between the payments made and the value of the lessons completed will be refunded to the Student via bank transfer within 14 days of the actual end date of the Course, or—in consultation with the Student— - may be applied toward the Student’s next purchased Course.
  5. If a Student is unable to attend a group lesson with a teacher for reasons attributable to the Student, the group lessons with a teacher that the Student was unable to attend will not be rescheduled.
  6. In the case of one-on-one Lessons, the Student may cancel or reschedule a Lesson to a different time by notifying Fluentbe via the dedicated Fluentbe Classroom feature at least 12 hours before the scheduled Lesson. If the Student fails to meet the deadline specified above, the Lesson may be considered to have taken place, unless the inability to attend the Lesson or the inability to cancel or reschedule it in a timely manner resulted from unforeseen circumstances beyond the Student’s control and impossible to predict despite exercising due diligence, in particular sudden illness, an accident, or other similar circumstances. In such a case, the Student should inform Fluentbe of the reason for the absence immediately after the obstacle has ceased, providing appropriate evidence confirming the occurrence of such a circumstance. Fluentbe will review such situations on a case-by-case basis, taking into account the circumstances of the case, the costs incurred by Fluentbe, and the principles of good faith in the performance of the Agreement.
  7. A Student who has entered into an Agreement to participate in one-on-one Lessons with a teacher may take the one-on-one Lessons with a teacher within the timeframe specified in the Order, and if no such timeframe is specified—within 12 months from the date the Agreement was entered into. Fluentbe will notify the Student, in a manner that allows the Student to review the information, of the impending expiration of the period for using the individual Lessons at least 14 days prior to its expiration, provided that this is feasible given the time remaining until the end of the Agreement.
  8. If the Student does not complete the Individual Lessons within the timeframes specified in paragraph 7, the right to complete them expires, subject to the provisions below. Fluentbe, at the Student’s request, will extend the deadline for taking unused Individual Lessons for a period sufficient to allow for their completion, provided that the failure to take the Lessons by the original deadline resulted from circumstances beyond the Student’s control, in particular illness, accident, a prolonged technical failure, force majeure, or other significant circumstances preventing participation in the Lessons. This provision does not exclude or limit the rights of a Student who is a consumer arising from mandatory provisions of law.
  9. A Student who has purchased access to Smart Learning services may use that access any number of times during the term of the Agreement.

§4 Remuneration, Registration Fee

  1. The amount of the Remuneration is specified in the Order. The prices specified in the Order are gross prices (including applicable taxes).
  2. The Remuneration may be paid as a lump sum (in full in advance) or periodically in advance in installments under the terms specified in the Order.
  3. In the case of Remuneration paid periodically in installments, the Student agrees to pay the installments in advance, in accordance with the Course information prepared by Fluentbe. This information will specify the package of Lessons or Classes paid for by the Student as part of a given installment.
  4. Fluentbe accepts the following forms of payment for the Fee:

    electronic payments, credit card payments, deferred payments, or installment payments via PayU.pl or PayPal, or by any other method specified by Fluentbe – the currently available payment methods are specified in the Order and on the website http://www.payu.pl

    . Settlements for transactions made via electronic payments and credit/debit cards are processed, in accordance with the Customer’s choice, through the PayU.pl service. Electronic and credit card payment processing is handled by:

    PayU SA, with its registered office in Poznań, 60-166 Poznań, at ul. Grunwaldzka 182, a domestic payment institution, supervised by the Polish Financial Supervision Authority, entered in the Register of Payment Services under number IP1/2012, and entered in the Register of Entrepreneurs maintained by the District Court in Poznań – Nowe Miasto and Wilda in Poznań, 8th Commercial Division of the National Court Register under KRS number 0000274399, with share capital of 4,944,000 PLN, fully paid up, holding tax identification number (NIP): 779-23-08-495, REGON 300523444.

  5. In the event of non-payment of the Remuneration, Fluentbe has the right to terminate the Agreement with immediate effect; in the case of Smart Learning services and the Fluentbe Max Package, Fluentbe will not grant access to Student Space and Smart Learning and will block any access already granted. Termination of the Agreement is equivalent to the loss of access to the Course.
  6. If a refund is required for a transaction made by the Student using a debit or credit card, Fluentbe will issue the refund to the bank account associated with the Student’s card. For other forms of payment, the refund will be issued using the same payment method selected during the transaction. If this is not possible, Fluentbe will refund the funds to the bank account specified by the Student.
  7. If the Student pays the next installment after the date of the last Lesson with a tutor as part of a package paid for in accordance with the Course information prepared by Fluentbe pursuant to Section 4, access to the Course is extended from the date of the last paid Lesson with a tutor under the previously paid Lesson package. This provision also applies to the Fluentbe Max Package.
  8. In the event of termination of the Agreement before the end of the Course, regardless of the grounds for termination, settlement between Fluentbe and the Student shall be made in proportion to the scope of services actually provided by Fluentbe up to the date of termination of the Agreement, subject to mandatory provisions of law, in particular those concerning consumer protection. For the purposes of settlement, the following rules apply:
    1. “Number of Sessions in the Course” means the total number of Lessons specified in the Order;
    2. “Completed Sessions” means sessions that, as of the date of termination of the Agreement, have been conducted by Fluentbe or that, in accordance with the rules for canceling Lessons set forth in the Terms and Conditions, have been deemed used for reasons attributable to the Student;
    3. “Course Price” means the total gross price of the Course specified in the Order, after taking into account any discounts, rebates, or promotions that were not contingent upon completion of the entire Course;
    4. “Unit Price” means the amount calculated using the following formula: Unit Price = Course Price / Number of Sessions in the Course.

    The amount due to Fluentbe for services provided up to the date of termination of the Agreement is calculated using the following formula: Amount Due to Fluentbe = Unit Price × Number of Completed Classes.

    If the Student has paid Fluentbe an amount greater than the Amount Due to Fluentbe, Fluentbe shall refund the difference to the Student. If the Student has paid an amount less than the Amount Due to Fluentbe, the Student is obligated to pay the difference.

  9. If a discount, rebate, or promotional price was granted to the Student on the condition that they complete the entire Course or a specified minimum number of Lessons, Fluentbe may take this condition into account when settling the account and, at the time the Agreement is concluded
    1. ,
    inform the Student of:
    1. the amount of the discount, reduction, or difference between the standard price and the promotional price;
    2. the condition upon which the discount, reduction, or promotional price is contingent;
    3. the method of calculating the settlement in the event of termination of the Agreement before this condition is met;
    4. the maximum amount that the Student may be required to pay or that may be deducted from the refundable amount.
  10. The settlement may not result in the Student being charged a penalty. Fluentbe provides the Student with a settlement statement indicating at least: the number of Lessons in the Course, the number of Completed Lessons, the Course Price, the Unit Price applied, any discounts or reductions taken into account, the amount paid by the Student, the amount owed to Fluentbe, and the amount to be refunded to the Student or the additional amount due. Any amount owed to the Student shall be refunded immediately, no later than 14 days from the date the settlement statement is delivered, to a bank account or via another payment method agreed upon with the Student, unless mandatory provisions of law provide for a more favorable deadline for the Student.
  11. If, based on the settlement, the Student is required to make an additional payment, the Student agrees to make such payment by bank transfer or by the payment method specified in paragraph 4 within 14 days of the date the settlement is delivered.
  12. Settlement statements shall be delivered to the email address provided by the Student.
  13. If a Student who is a consumer withdraws from the Agreement within the statutory period, Fluentbe shall refund the Enrollment Fee to the Student, unless the Student expressly requested that services begin before the expiration of the withdrawal period, and Fluentbe had already performed activities prior to the withdrawal, the cost of which was covered by the Enrollment Fee. In such a case, Fluentbe may retain only the portion of the Registration Fee corresponding to the activities actually performed and the reasonable costs incurred, in proportion to the scope of the service provided. In the event of termination of the Agreement, the Registration Fee or a portion thereof shall be refunded if Fluentbe has not performed the activities whose cost was to be covered by the Registration Fee, or if retaining the Registration Fee would be disproportionate to the scope of activities actually performed by Fluentbe. Fluentbe shall inform the Student, upon the Student’s request, of the activities performed as part of the Registration Fee and how the amount retained by Fluentbe, if any, was determined.

§5 Rights and Obligations of the Student

  1. The Student agrees to pay the Fees in accordance with the Order and the Terms and Conditions.
  2. The Student has the right to access the teaching materials prepared by Fluentbe. Access is available only for the duration of the Agreement. The Student may use the teaching materials solely for permitted personal use.
  3. The Student is prohibited from:
    • behaving in a vulgar manner or in a way that violates the dignity of other Students and the instructor, Students and the instructor; or
    • uploading content that violates the law or public decency—in particular, vulgar, pornographic, or content that infringes on copyright or intellectual property rights—to the IT system made available to the Student.

§6 Rights and Obligations of Fluentbe

  1. Fluentbe undertakes to fulfill the obligations arising from this Agreement with due diligence.
  2. As part of the Remuneration, Fluentbe provides the Student with access to the instructional materials necessary to complete the Course in accordance with its curriculum, proficiency level, and the type of service purchased. “Teaching materials” are defined as materials made available by Fluentbe in Student Space or in any other manner specified by Fluentbe, including, in particular, materials used during Lessons with a teacher, exercises, assignments, or other educational content intended for a given level and type of Course. Additional materials—in particular specialized materials, exam materials, custom-prepared at the Student’s request, or materials that go beyond the standard Course curriculum, may be made available for an additional fee only after the Student has been informed of their scope and price and has given their express consent to pay such a fee.
  3. Fluentbe undertakes to provide the Student with technical support to the extent necessary for the proper conduct of the Course—before the first Lesson and throughout the duration of the Course.

§7 Termination of the Agreement

  1. The Student has the right to terminate the Agreement with immediate effect if four consecutive Lessons with a teacher do not take place in accordance with the Lesson Schedule for reasons attributable to Fluentbe. In such a case, Fluentbe shall refund to the Student, within 14 days of the date of termination of the Agreement:
    1. the portion of the Fee paid corresponding to Lessons that were to take place after the date of termination of the Agreement; and
    2. the portion of the Fees paid corresponding to Lessons that, prior to the date of termination of the Agreement, did not take place due to reasons attributable to Fluentbe and were not rescheduled for another date agreed upon with the Student.
  2. Fluentbe has the right to terminate the Agreement with immediate effect if, during a Lesson with a teacher, the Student:
    1. prevents the Lesson from proceeding through persistent behavior that hinders communication with the instructor or other Students, despite having been previously warned by the instructor or Fluentbe;
    2. seriously and repeatedly disrupts the Lesson, in particular by repeatedly interrupting other participants, preventing the Lesson plan from being followed, sharing content unrelated to the Lesson despite being asked to stop such behavior, or engaging in other conduct that objectively prevents the Lesson from proceeding properly;
    3. directs insulting, discriminatory, threatening, or personally offensive remarks toward the instructor, other Students, or Fluentbe employees;
    4. materially or repeatedly violates the prohibitions set forth in § 5(3) of the Terms and Conditions.
  3. Termination of the Agreement pursuant to this paragraph should be preceded, to the extent permitted by the nature of the violation, by a prior request to the Student to cease the violations. Such a request is not required if the Student’s conduct is egregious, in particular if it involves threats, discriminatory or insulting statements, or other violations of personal rights.
  4. The Student has the right to terminate the Agreement with immediate effect if a tutor, another Student, or a person acting on behalf of Fluentbe violates the Student’s personal rights during a Lesson with a tutor, directs insulting, discriminatory, or threatening remarks, or otherwise grossly prevents the Student from using the Course in accordance with the Agreement, and Fluentbe, upon receiving a report, fails to take appropriate corrective action within a reasonable timeframe, not exceeding 7 days, unless the nature of the violation justifies immediate termination of the Agreement by the Student.
  5. A Student who has purchased only Lessons with a Teacher has the right to terminate the Agreement at any time without providing a reason. The notice period covers 4 consecutive group Lessons with a teacher or 2 individual Lessons with a teacher following delivery of the notice of termination to Fluentbe. Notice of termination may be submitted via email to: [email protected]. The notice of termination must include at least the Student’s first and last name, email address, and a statement terminating the Agreement.
  6. A Student who has purchased access to Smart Learning has the right to terminate the Agreement before the end of the term for which it was concluded if Smart Learning is unavailable due to Fluentbe’s fault for 48 consecutive hours. Termination of the Agreement for Lessons with a Tutor does not affect the validity of the Agreement regarding Smart Learning.
  7. A student who has purchased the Fluentbe Max Package has the right to terminate the Agreement at any time without providing a reason. The notice period covers 4 consecutive group Lessons with a teacher or 2 individual Lessons with a teacher following delivery of the notice of termination to Fluentbe.
  8. If the Student terminates the Agreement before the end of the term for which it was concluded, the Parties to the Agreement shall settle their accounts with each other in accordance with the provisions of §4(8). In the event of termination of the Fluentbe Max Package under these terms, Fluentbe shall provide the Student with a pro-rata refund for the lessons with a teacher in which the Student will not participate due to the termination, less a proportional amount of the fee due for Smart Learning, which is set at 14% of the total fee paid by the Student.

§8 Liability

  1. Fluentbe strives to ensure that the Student makes progress in their learning, but since learning outcomes are influenced by many factors, Fluentbe cannot guarantee that the Student will master the language at a specific level.
  2. Fluentbe is not liable for the results of language exams taken by the Student after completing the Course.
  3. Fluentbe is not liable for the Learner’s inability to participate in the Course or for disruptions in the use of the Course if they result solely from circumstances attributable to the Learner, in particular the Learner’s failure to meet technical and equipment requirements, a malfunction of the device used by the Student, or disruptions in the Student’s internet access. Fluentbe shall not be liable for non-performance or improper performance of the Agreement caused by force majeure, understood as an external event that is unforeseeable and unavoidable despite the exercise of due diligence, to the extent that such an event actually prevents or significantly impedes the performance of the Agreement. This provision does not exclude or limit Fluentbe’s liability toward a Student who is a consumer to the extent that such liability arises from mandatory provisions of law.
  4. The Student is responsible for paying the Fees.
  5. With respect to Students who are not consumers, Fluentbe’s total liability on any account is limited to the amount of the Fee actually paid.

§9 Complaints

  1. Fluentbe provides the email address [email protected] for submitting inquiries and complaints.
  2. A complaint should, in particular, include the subject of the complaint and the circumstances justifying it.
  3. A complaint may be filed at any time after the occurrence of the circumstances giving rise to the complaint, subject to the statute of limitations for claims under generally applicable laws. Fluentbe recommends filing a complaint immediately upon noticing a problem, as this may facilitate its prompt resolution.
  4. Complaints are reviewed within 14 days of the date they are filed.

§10 Technical and Equipment Requirements

  1. In order to participate properly in Lessons with a teacher, the Student must meet the Technical and Hardware Requirements available at: https://www.fluentbe.com/help/pl-technical-requirements/

§11 Final Provisions

  1. In matters not covered by these Terms and Conditions, the relevant provisions of the Civil Code and other provisions of Polish law shall apply.
  2. Fluentbe hereby informs users that any dispute arising from the application of these Terms and Conditions may be resolved through the ODR platform.
  3. A Student who is a consumer may also contact the county (municipal) consumer ombudsman.
  4. Disputes arising from these Terms and Conditions or the Agreement may also be resolved in the following cases:
    1. For a Student who is a consumer—by the court having jurisdiction under the provisions of the Code of Civil Procedure,
    2. A Student who is not a consumer—by the court with jurisdiction over the registered office of Fluentbe or its assignee, if Fluentbe is the party initiating the proceedings, or by the court with jurisdiction over the registered office of Fluentbe, if the Student is the party initiating the proceedings.

Appendix A – Sample Statement of Withdrawal from the Contract

Withdrawal from a Distance Contract
